The New Zealand Limited Partnership is an incorporated legal entity consisting of a Limited Partner and a General Partner, operating in accordance with a mutually agreed-upon Partnership Agreement. The General Partner is responsible for the day-to-day management and care of the LP, while the Limited Partner is restricted only to a limited set of actions outlined by New Zealand Law. New Zealand legislation allows for the partners of the LP to be any physical person or any legal entity, either from New Zealand or overseas.

The General Partner is not required to make any capital contributions to the LP, although they are not forbidden from doing so. The funding for the Limited Partnership is drawn from the Limited Partner’s investments. The Limited Partner is not liable for the debts accrued by the LP, beyond their own capital contribution to the Limited Partnerships. Only the General Partner faces unlimited liabilities for the obligations incurred by the LP.
